Welcome to AutoReconciliation.com (the “Site”). You should carefully read the following Terms and Conditions of Use (TCU). By accessing this web site, using or downloading materials from the Site, you accept and agree to be bound by the TCU, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws.
If you do not agree with any of these terms, you are prohibited from using or accessing the Site. The materials contained in this Site are protected by applicable copyright and trade mark law.
All materials provided on this Site, including but not limited to information, documents, products, graphics, images, software and services (the "Materials") are provided by AutoReconciliation.com and its Site provider (the “Licensor”), and are the copyrighted work of Licensor. No Licensor Materials may be copied, reproduced, distributed, republished, downloaded, displayed, posted or transmitted in any form or means without Licensor’s prior express written permission.
Nothing on this Site confers any license under the Licensor’s intellectual property rights except as specifically noted below, whether by estoppel, implication, or otherwise. User acknowledges sole responsibility for obtaining required licenses.
The Licensor grants you permission to display, copy, distribute and download the Materials on this Site provided that: (1) both the copyright notice identified below and this permission notice appear in the Materials; (2) the use of such Materials is solely for personal, non-commercial use; and (3) the Materials are not modified in any way. Permission terminates automatically and without notice if these TOU are breached. Upon termination, you will immediately destroy any downloaded or printed Materials.
If you are accessing the Site to review requirements and submit information as requested of you by one of our customers using the AutoReconciliation.com Hosted Services, the Licensor grants you a limited license to access the Site solely to use the Hosted Services. Other than viewing, answering questions, uploading documents, signing or retrieving completed forms, you may not modify, copy, distribute, transmit, display, perform, reproduce, duplicate, publish, license, create derivative works from, offer for sale, or use in any other way the Site or the Hosted Services, or any information contained on, or obtained from the Site without the express written consent of the Licensor. Any and all unauthorized uses of the Site or the contents therein will terminate the limited license granted to you. Without our express written consent, you may not (a) use any automated means to access the Site or collect any information from the Site (including without limitation robots, spiders, or scripts), (b) use the Site or the Hosted Services in any manner that could damage, disable, overburden, or impair the Site or the Hosted Services or interfere with any other party's use of the Site or the Hosted Services, or (c) frame the Site, place pop-up windows over its pages, or otherwise affect the display of its pages. This means, among other activities, that you agree not to engage in the practices of "screen scraping," "database scraping," or any other activity with the purpose of obtaining lists of users or other information.
Software available for downloading from this Site (the "Software") is the copyrighted work of Licensor and third-party providers. Use of the Software is governed by the terms of the end-user license associated with the software ("License"). An end user agrees to the License by using the Software. Redistribution of the Software is expressly prohibited by law, and may result in civil and criminal penalties. Violators will be prosecuted.
The Software is warranted only according to the terms of the License. Except as expressly warranted in the License, Licensor disclaims all express or implied warranties and guarantees, including conditions of merchantability, fitness for a particular purpose, title and non-infringement, except to the extent that such disclaimers are held to be legally invalid.
Comments, feedback, information or materials submitted to the Licensor in association with this Site ("Submissions") shall be considered non-confidential and the Licensor’s property. By providing Submissions to the Licensor, you agree to assign to the Licensor, at no charge, all worldwide intellectual property rights to the Submissions. The Licensor shall have unrestricted use of the Submissions. You acknowledge that you are responsible for the Submissions that you provide and that you have full responsibility for the legality and copyright of the submissions.
The materials on the Licensor’s Site are provided "as is". The Licensor makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties, including without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights. Further, the Licensor does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on its Internet web site or otherwise relating to such materials or on any sites linked to this site.
In no event shall the Licensor or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption,) arising out of the use or inability to use the materials on the Licensor’s Internet site, even if the Licensor or an authorized representative of the Licensor has been notified orally or in writing of the possibility of such damage. Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.
The materials appearing on the Site could include technical, typographical, or photographic errors. The Licensor does not warrant that any of the materials on the Site are accurate, complete, or current. The Licensor may make changes to the materials contained on its web site at any time without notice. The Licensor does not, however, make any commitment to update the materials.
The Licensor has not reviewed all of the sites linked to the Site and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by the Licensor of the Site. Use of any such linked web site is at the user's own risk.
Any claim relating to the Site shall be governed by the laws of the State of Arizona without regard to its conflict of law provisions.
